InfoFlo Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("Customer") and InfoFlo, Inc. ("InfoFlo," "we," "us") governing your use of InfoFlo's platform, including its website, mobile applications, AI-powered agents, expert interview recordings, transcripts, synthesized takeaways, and related services (collectively, the "Services"). We are incorporated in Delaware, United States with a registered office at 251 Little Falls Dr, Wilmington, DE 19808. By using the Services, you agree to these Terms; if you do not agree, do not use the Services.

Order of Precedence. If these Terms conflict with an Order Form executed by the parties, the Order Form controls.

Pilot/Beta. Customer acknowledges the Services may include pilot or beta features provided "as is," without uptime or feature commitments, and may change or be discontinued. Customer feedback may be used by InfoFlo without restriction.

No Advice. Outputs are informational only and not investment, legal, tax, or other professional advice. Expert opinions are their own; InfoFlo is not a broker-dealer or investment adviser.

2. Services & Use

Customer agrees to use the Services only in compliance with applicable law and not to misuse or attempt to circumvent security. Customer will not resell, redistribute, publicly disclose, or otherwise make available the Services or Outputs except as expressly permitted below.

3. Fees & Payment

Fees and billing cadence will be stated on the applicable Order Form. All fees are non-cancellable and non-refundable. Prices exclude taxes, which are Customer's responsibility. Payment method is ACH or bank wire. InfoFlo may suspend the Services for non-payment.

4. Intellectual Property; License to Outputs

InfoFlo owns all rights, title, and interest in and to the Services and all related content, including expert recordings, transcripts, and AI-generated insights ("Outputs"). Subject to these Terms and timely payment of fees, InfoFlo grants Customer a limited, non-transferable license to use Outputs solely for Customer's internal investment research, including sharing with Customer's professional advisors under confidentiality. Redistribution, resale, public disclosure, or using Outputs to train models or build competing datasets is prohibited without InfoFlo's prior written consent.

Customer feedback and suggestions may be used by InfoFlo without restriction.

5. Term; Termination

These Terms remain in effect while Customer uses the Services. Either party may terminate for material breach if the breach is not cured within 30 days after written notice. Upon termination, Customer's right to access the Services and Outputs ends, and Customer will cease use of all Outputs except as required by law or record-keeping policies.

6. Security

InfoFlo maintains reasonable technical and organizational measures appropriate to the nature of data processed and will notify Customer without undue delay following confirmation of a security incident affecting Customer data.

7. Privacy

Personal data is handled per InfoFlo's Privacy Policy and, if applicable, a Data Processing Addendum (DPA), each incorporated by reference.

8. Disclaimers

THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." INFOFLO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. InfoFlo does not warrant the accuracy or completeness of any expert statements, transcripts, or synthesized insights, and Customer is responsible for its own verification and decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFOFLO WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. INFOFLO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY CUSTOMER TO INFOFLO IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. The foregoing limitations do not apply to fraud or willful misconduct.

10. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, United States. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms. (No arbitration.)

11. Publicity

InfoFlo may identify Customer by name and logo in a customer list; Customer may opt out at any time by email.

12. Changes to Terms

InfoFlo may update these Terms from time to time. The "Last updated" date will reflect the latest version. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
